1. Toepasselijkheid
1.1 Deze voorwaarden zijn van toepassing op alle leveringen, transacties en overeenkomsten waarbij partij is Sillicreations, gevestigd te Eindhoven.
1.2 Deze leveringsvoorwaarden zijn opgesteld ten behoeve van de wederpartij die gebonden is aan deze voorwaarden. Met wederpartij worden bedoeld: wederverkopers, klanten en alle andere partijen gebonden aan deze voorwaarden. Met wederverkopers worden bedrijven bedoeld die ingeschreven staan bij de Kamer van Koophandel.
1.3 De wederverkopers gaan bij contact met Sillicreations en voorafgaande aan bestellen akkoord met de leveringsvoorwaarden.
1.4 Afwijkingen van deze voorwaarden zijn slechts bindend na kennisgeving op schrift van Sillicreations en gelden uitsluitend voor de aanbieding, levering of overeenkomst waarvoor ze gemaakt zijn.
1.5 Algemene voorwaarden van de wederpartij binden Sillicreations nadat Sillicreations ze schriftelijk heeft ontvangen.
2. Aanbiedingen
Door Sillicreations aangeboden offertes of aanbiedingen zijn vrijblijvend tot aan deze aanbieding of order door ons uitvoering is gegeven.
3. Overeenkomst
Een overeenkomst met ons komt tot stand nadat wij deze schriftelijk of per email hebben bevestigd en
vangt aan op de datum van bevestiging dan wel op het moment dat aan de opdracht feitelijke uitvoering wordt gegeven.
4. Prijzen
4.1 Tenzij anders vermeld zijn onze prijzen:
- vermeld in euro’s;
- inclusief BTW bij levering aan particuliere gebruikers;
- exclusief BTW bij levering aan wederverkopers;
- exclusief transportkosten bij levering aan wederverkopers;
- exclusief verzendkosten bij levering aan particulieren
4.2 De prijslijst van de producten wordt op verzoek aan de wederpartij toegestuurd of overhandigd en is tevens zichtbaar op de internetsite van Sillicreations.
4.3 De kosten voor verzending of transport alsmede de handelwijze bij verzending worden voor facturering bekend gemaakt aan wederpartij.
4.4 Sillicreations behoudt zich het recht voor om tussentijdse prijswijzigingen door te berekenen zonder dat dit apart bekend gemaakt hoeft te worden. Dit geldt ook voor de transportkosten.
4.5 Wanneer er ondanks onze zorgvuldige voorbereidingen fouten in de prijzen voorkomen, worden de werkelijke prijzen berekend en niet de foutieve prijzen. Sillicreations kan niet aansprakelijk worden gesteld voor hieruit voortvloeiende schade.
4.6 Mondelinge en schriftelijke prijsafspraken zijn bindend, met dien verstande dat bij niet kunnen nakomen van de afspraken door overmacht, Sillicreations niet aansprakelijk kan worden gesteld voor de (gevolg) schade.
4.7 Wederverkopers zijn gebonden aan de adviesprijzen van www.sillicreations.nl.
5. Leveringsafspraken
5.1 Sillicreations levert slechts aan wederverkopers waarvan het inschrijfnummer van de Kamer van Koophandel, danwel het BTW nummer bij Sillicreations bekend is.
5.2 Levering geschiedt aan huis of bedrijf van de wederpartij.
5.3 De opgave van de levertijd gebeurt bij benadering, tenzij schriftelijk anders is overeengekomen. Opgegeven levertijden zijn nooit te beschouwen als fatale termijn tenzij uitdrukkelijk en schriftelijk is overeen gekomen.
5.6 Sillicreations kan leveren in gedeelten en deze afzonderlijk factureren.
6. Vervoer en goederenontvangst
6.1 De manier van verzending of transport wordt door Sillicreations bepaald, tenzij anders overeengekomen.
6.2 De aantallen van verzending zijn bij transport door een koeriersdienst verbonden aan door Sillicreations vastgestelde aantallen in verband met de speciale verzenddozen. Bij transport door Sillicreations zelf of bij afhalen van de producten op de locatie van Sillicreations gelden geen vastgestelde aantallen tot afname.
6.3 De verzendkosten worden door Sillicreations in de offerte kenbaar gemaakt.
6.4 Goederen retourneren kan alleen in overleg met en na schriftelijke toestemming van Sillicreations, en wel binnen 8 dagen, ongeopend, goed verpakt en op kosten van de wederpartij. Verzendkosten worden nooit geretourneerd.
6.5 Zendt de wederpartij de goederen retour zonder dat Sillicreations daarmee schriftelijk akkoord is gegaan en neemt Sillicreations deze in ontvangst en slaat ze op, dan zijn deze handelingen voor rekening en risico van de wederpartij. De zending wordt door Sillicreations tot 14 dagen na datum van ontvangst ter beschikking van de wederpartij gehouden. Daarna staan de goederen Sillicreations vrij ter beschikking.
7. Klachten
7.1 Bij schade aan verpakking en/of inhoud van de goederen dient de wederpartij dit binnen 8 dagen te melden. Zonder deze vermelding kan Sillicreations niet aansprakelijk worden gesteld voor schade ontstaan tijdens verzending.
7.2 Indien de klacht gegrond is, zal Sillicreations de geleverde goederen gratis vervangen tegen teruglevering door de wederpartij van de oorspronkelijk geleverde goederen of een schadevergoeding betalen van ten hoogste de factuurwaarde van de geleverde goederen. Tot verdere schadevergoeding en vergoeding van indirecte schade is Sillicreations niet verplicht.
7.3 De goederen die door de wederpartij op enigerlei wijze in gebruik zijn genomen, zijn verwerkt of zijn doorverkocht, worden geacht te zijn goedgekeurd en aanvaard; retourneren is niet meer mogelijk.
7.4 Bij klachten over facturen dient de wederpartij binnen 8 dagen na ontvangst schriftelijk
contact op te nemen met Sillicreations met vermelding van het factuurnummer en
omschrijving van de klacht.
7.5 Ten aanzien van klachten wordt iedere gedeeltelijke levering als een afzonderlijke koop beschouwd.
8. Aansprakelijkheid
8.1 Sillicreations kan op geen enkele wijze door de wederpartij aansprakelijk worden gesteld voor de schade van welke aard dan ook en door wie dan ook geleden, veroorzaakt door of in verband staand met door Sillicreations geleverde of ter beschikking gestelde zaken of diensten.
8.2 Voor afwijkingen, welke algemeen gebruikelijk zijn in de branche waaronder de geleverde goederen vallen, is Sillicreations niet aansprakelijk. Ook voor kleine technische, of niet te vermijden afwijkingen ten aanzien van kwaliteit, kleur, uitharding enz. is Sillicreations niet aansprakelijk.
8.3 De aansprakelijkheid is beperkt tot het aan de wederpartij in rekening gebrachte of nog in
rekening te brengen factuurbedrag.
8.4 Voor wat betreft het gebruik van de producten in combinatie met levensmiddelen verwijzen wij naar de veiligheidsinformatie welke aan ons beschikbaar is gesteld door de distributeur / fabrikant. Sillicreations aanvaard geen enkele verantwoordelijkheid met betrekking tot het onjuiste gebruik van het product.
9. Overmacht
9.1 Onder overmacht wordt verstaan elke omstandigheid waardoor de wederpartij de nakoming van de overeenkomst redelijkerwijs niet meer van Sillicreations kan verlangen, zoals storingen in het bedrijf of bij leveranciers van Sillicreations, wanprestaties van de leveranciers van Sillicreations, transportstoornissen of andere gebeurtenissen die buiten onze invloed liggen.
9.2 Bij overmacht heeft Sillicreations het recht de overeenkomst op te schorten of geheel of ten dele met een schriftelijke verklaring te ontbinden zonder dat daar een bedrag van schadevergoeding tegenover staat.
9.3 De keuze van handeling genoemd in punt 9.2 dient door Sillicreations gemaakt te worden binnen 14 dagen na datum van ontvangst van de schriftelijke aanmaning door de wederpartij.
9.4 Sillicreations is gerechtigd betaling te vorderen van de prestaties, welke bij de uitvoering van de betreffende overeenkomst zijn verricht, voordat van een overmacht veroorzakende omstandigheid is gebleken.
10. Eigendomsvoorbehoud
10.1 Zolang geen volledige betaling heeft plaatsgevonden blijven de goederen het eigendom van Sillicreations.
10.2 In geval de wederpartij enige verplichting uit overeenkomst niet nakomt is de wederpartij verplicht de goederen op eerste verzoek van Sillicreations terug te geven waarna de wederpartij zal worden gecrediteerd voor de marktwaarde van de goederen op de dag van terugname.
10.3 Het is de wederpartij toegestaan de onder eigendomsvoorbehoud afgeleverde goederen in het kader van de normale uitoefening van het bedrijf aan derden te verkopen en over te dragen. (Voorlopige) surséance van betaling of faillissement vallen niet onder de normale uitoefening en in die
gevallen is Sillicreations gerechtigd de afgeleverde goederen terug te nemen.
11. Betaling
11.1 Tenzij uitdrukkelijk anders overeengekomen, dienen de wederverkopers uit het buitenland eerst de bestelde producten te betalen waarna Sillicreations tot aflevering overgaat.
11.2 Tenzij uitdrukkelijk anders overeengekomen levert Sillicreations aan de wederverkopers in Nederland na betaling van het factuurbedrag. Betaling van het volledige factuurbedrag dient binnen 14 dagen na factuurdatum te zijn voldaan, waarna verzending plaatsvindt.
11.3 Sillicreations behoudt zich het recht voor om producten aan wederverkopers in Nederland en het buitenland te leveren onder rembours of vooruitbetaling.
12. Ontbinding
12.1 Geheel of gedeeltelijke ontbinding vindt plaats door een schriftelijke verklaring van de daartoe gerechtigde. De wederpartij zal eerst dan de overeenkomst door middel van een schriftelijke verklaring
kunnen ontbinden, indien hij Sillicreations schriftelijk in verzuim heeft gesteld en aan Sillicreations een redelijke termijn heeft gegund om alsnog aan haar verplichtingen te voldoen.
13. Toepasselijk recht
Op alle overeenkomsten die de wederpartij met Sillicreations aangaat is het Nederlands recht van toepassing.
